    Incorporation at SECP

Name reserved, documents drafted for IT and IT-enabled services, company registered.

  3. 3

    PSEB and tax registrations

Company NTN, PSEB registration, and PRA where domestic clients bring you into the Punjab services regime.

The sector where structure genuinely changes your tax

For most businesses, incorporation is about liability and credibility. For an IT company exporting services from Pakistan, it also determines your tax position, because the concessions available to the IT sector are conditional, and the conditions are about how you are registered and how your money arrives.

This is why we always start with the same question: where are your clients, and how do they pay you?

Export of IT services: the money has to come through the bank

The concessional treatment available to exporters of IT and IT-enabled services is tied to proceeds being brought into Pakistan through proper banking channels, evidenced by the remittance documentation your bank issues. This is not a formality. A software house that leaves earnings in a foreign account, or takes payment into a personal wallet and transfers it in informally, has export revenue that is very difficult to characterise as export proceeds, and has usually also created a wealth statement problem for the owner.

The mechanics matter more than the intent. Set up the banking properly at the start, route every client payment through it, and keep the remittance advices. The whole concession rests on that evidence.

PSEB registration belongs at the beginning

Registration with the Pakistan Software Export Board is the sector's identifying registration, and it interacts with the tax concessions, with bank treatment of your remittances, and with access to sector schemes. Firms routinely leave it until year two, then find it needed for something urgent.

It is a cheap registration relative to the incorporation. Do it at the same time, see PSEB registration, which also covers individual freelancers.

Domestic clients change your position

Here is where Lahore software houses most often come unstuck. A firm sets up assuming it is a pure exporter, and then takes on local work, a website for a Gulberg retailer, a system for a Pakistani bank, an app for a domestic startup. That domestic work is a supply of services in Punjab and sits within the PRA regime, entirely separately from anything to do with exports.

Once you have both streams, you need apportionment, and you need it applied consistently. Firms that ignore this until a PRA notice arrives face a demand covering every domestic invoice they have ever raised.

Your team: contractors or employees?

Almost every Pakistani software house engages some developers as contractors rather than employees. There are real reasons for it, but the arrangement carries consequences that are frequently ignored:

  • You may have withholding obligations on contractor payments
  • Employees bring payroll withholding, and EOBI and social security obligations
  • Labelling someone a contractor does not settle the question if the working relationship looks like employment in substance
  • Intellectual property does not transfer by default. Without a written assignment, code written by a contractor may not belong to your company, which is exactly what an acquirer or an enterprise client will ask about

The IP point is the one that costs real money later. A properly drafted contractor agreement with an IP assignment clause is inexpensive now and non-negotiable in any serious due diligence.

Call centers: additional considerations

A call center or BPO operation has requirements a pure software house does not, the telecom arrangements for international voice traffic sit within PTA's regulatory framework, and premises, seat capacity and shift working bring labour obligations into play sooner than they do for a small dev team. If voice is part of your operation, raise it early; it is not the same setup.

What overseas clients will ask for

When a US or European client runs vendor due diligence on a Pakistani supplier, they typically want the certificate of incorporation, tax registration, a bank account in the company's name that can receive international payments, evidence of the company's registered address, and increasingly some assurance about data handling and IP ownership. A company that has these ready wins work that a company assembling them over three weeks loses. Setting up properly is a sales asset, not just a compliance exercise.

Getting paid: Payoneer, Wise, wires and the export coding

How the money physically arrives deserves as much design as the corporate structure. Client payments through Payoneer, Wise or direct wire should terminate in the company's Pakistani bank account, and the bank should code each credit as an IT/ITeS export remittance, the coding, together with the remittance advices (PRCs) the bank issues, is the evidence chain the concessional export regime rests on. Some firms also use exporters' special foreign currency accounts to hold a portion of proceeds under the applicable State Bank rules. What breaks the chain is revenue terminating in a founder's personal account or lingering abroad in a platform wallet: the same dollars become undocumented income instead of evidenced exports. Set the flow up once, correctly, and every subsequent invoice inherits it.

Startups raising money: keep the structure diligence-ready

If venture funding or an eventual acquisition is the plan, incorporate as if the data room already exists. That means a clean cap table at SECP that matches reality, written IP assignments from every founder, employee and contractor from day one, board minutes that actually record decisions, and, where foreign investors will hold shares, the repatriation paperwork done properly so their money can legally come in and go out. Pakistani startups lose months of deal momentum to exactly these items, all of which cost almost nothing to do correctly at the start and real money to reconstruct under a term-sheet deadline. We set companies up to pass the diligence they have not yet been asked for.

Frequently asked questions

Do I need to register a company to work with foreign clients?

Not strictly, many freelancers bill overseas clients as individuals. A company becomes necessary when clients require a corporate counterparty, when you have a team, or when you want limited liability. It also makes vendor due diligence far easier to pass.

What tax concessions are available to IT companies?

The IT and IT-enabled services export regime offers concessional treatment, but it is conditional, chiefly on proceeds being brought into Pakistan through proper banking channels with the remittance evidence retained. The specifics have changed across recent Finance Acts, so the position should be confirmed for the current year rather than assumed.

Is PSEB registration mandatory?

It is not a bar to operating, but it is the sector's identifying registration and it interacts with the tax concessions, bank treatment of your remittances and access to sector schemes. It is inexpensive and best done alongside incorporation rather than in a hurry later.

Do I need PRA registration if all my clients are abroad?

Exported services are treated differently from domestic supplies. The problem arises when you take on local clients, that work falls within the Punjab services regime and needs apportionment. Most firms end up with both streams eventually, and firms that ignore it until a notice arrives face a demand covering every domestic invoice ever raised.

How should I receive payments from overseas clients?

Through the banking channel, into a company account, with the remittance advices retained. The concessional treatment for exported services depends on that evidence. Money left in a foreign account or brought in informally is hard to characterise as export proceeds and usually creates a wealth statement problem too.

Should my developers be employees or contractors?

Both are used in this sector. The points that matter are withholding on contractor payments, payroll and EOBI obligations for employees, and, most importantly, intellectual property. Code written by a contractor may not belong to your company without a written assignment, which is the first thing an acquirer or enterprise client will check.

Can a foreign client own shares in my Pakistani company?

Yes, foreign shareholding is permitted with additional documentation and, depending on nationality and structure, further requirements. It is common in this sector but it is not the same-week process a local incorporation is.

What is different about registering a call center?

Voice operations bring telecom regulation under PTA into the picture, and premises, seat capacity and shift working raise labour obligations earlier than for a small development team. If international voice traffic is part of the plan, say so at the outset.
