How it works

  1. 1

    Name reservation

Three options submitted to SECP in preference order. Names too close to an existing company, or using restricted words, get rejected, we screen for that before filing.

  2. 2

    Digital signatures

Each subscriber needs one to sign the incorporation documents electronically.

  3. 3

    Documents drafted and filed

Memorandum, articles and the incorporation forms, drafted for your business rather than pulled from a shelf.

  4. 4

    Incorporated, then made operational

Certificate issued, then company NTN and bank account, because an incorporated company that cannot receive money is not much use.

What incorporation actually gives you

A private limited company is a separate legal person. It owns its own assets, owes its own debts, and continues to exist regardless of who its shareholders are at any moment. Three consequences follow, and they are the reasons to incorporate:

Limited liability. If the company fails owing money, shareholders generally lose what they put in and no more. Your house is not on the table. This protection is real but not absolute, directors who give personal guarantees to a bank, or who trade recklessly, can still find themselves exposed.

Transferable ownership. Shares can be issued, sold and transferred. This is the only structure in which you can genuinely bring in an investor, give equity to a key employee, or sell part of the business without unwinding the whole thing.

Credibility. Corporate customers, government tenders and banks treat an incorporated company differently. For some contracts it is a threshold requirement.

Getting the name through

SECP rejects names that are identical or deceptively similar to an existing company, that use restricted or sensitive words without prior approval, or that imply state patronage or a regulated activity you are not licensed for. Submit three genuine alternatives rather than one name and two throwaways, a rejection costs you days. We check the register before filing.

The memorandum is not boilerplate

The objects clause defines what the company is permitted to do. Draft it too narrowly and you find yourself outside your own objects the first time the business pivots. Copy a generic clause covering thirty unrelated activities and banks and regulators start asking what the company actually does. It should be written around your real business with sensible room to grow, which takes a conversation, not a template.

The articles govern the relationship between shareholders and directors: how shares transfer, how directors are appointed, what needs a special resolution. For a company with more than one shareholder, this is worth thinking about properly at the start. Two people who own 50% each and have not agreed a deadlock mechanism have built a problem into the constitution of their business.

Capital

Authorised capital is the ceiling on what the company may issue; paid-up capital is what shareholders actually put in. SECP's filing fee scales with authorised capital, so setting an unnecessarily high authorised capital costs money at incorporation for no benefit. Set it at a level that gives you headroom for the next few years, not a number chosen to look impressive.

What incorporation commits you to

This is the part people underestimate, and it is why we would rather talk you out of incorporating too early than sell you a certificate. A company has continuing obligations regardless of whether it trades:

  • Annual return to SECP (Form A), and Form 29 whenever directors or particulars change
  • Annual audited or unaudited accounts, depending on the company's size
  • Annual income tax return with FBR, including in years with no activity
  • Quarterly advance tax obligations
  • Statutory registers and proper minutes of meetings

A dormant company that stops filing accumulates penalties, and the directors, not some abstract entity, are the people SECP pursues. See SECP annual compliance.

SMC or Pvt Ltd?

If you are the only owner, a Single Member Company gives you the same limited liability with one shareholder. If there will be two or more owners from the start, a private limited company is the right form. An SMC can be converted to a Pvt Ltd later when you bring someone in.

SECP eServices: how incorporation actually happens

Company registration in Pakistan runs through SECP's eServices portal end to end, name reservation, the incorporation forms, the memorandum and articles, and the fee challan are all filed electronically, signed with each subscriber's digital signature (issued through NIFT). There is no queue at an SECP office and no paper file. What the online process does demand is precision: the subscribers' particulars must match NADRA's record for their CNICs, the fee scales with authorised capital, and a defective filing bounces with an objection memo that costs days. This is also why "company registration in Lahore" is really a question of who prepares the file, not where, Companies Registration Office jurisdiction follows your registered office automatically, and everything else is portal work we handle from start to certificate.

After the certificate: the first-90-days checklist

Incorporation day is the start of a short checklist that new companies skip at their cost. Within the first weeks you want: the company's NTN registered with FBR, the bank account opened against a board resolution and the incorporation set, share certificates issued to subscribers, statutory registers opened, and, where the business will trade, sales tax or PRA registration assessed. Auditors and a company secretary become relevant as size demands. The first Form A falls due after the first anniversary, and Form 29 immediately whenever any director-level fact changes. We hand every new company this calendar in writing, because the difference between a clean company and a defaulting one is usually nothing more than whether anyone owned these dates in year one.

Frequently asked questions

How long does company registration take?

Typically five to ten working days from a complete document set, name reservation first, then incorporation. Getting the company NTN and bank account operational afterwards usually adds a few more days.

How many directors does a Pvt Ltd need?

A private limited company requires at least two members. If you are the only owner, a Single Member Company is the appropriate structure and can be converted later.

What is the cost of registering a company?

A professional fee plus SECP fees. The SECP incorporation fee scales with your authorised capital, so setting an unnecessarily large authorised capital costs real money at incorporation. We quote both parts separately so you see what is fee and what is government charge.

How much capital do I need?

There is no large minimum for a standard private company. Distinguish authorised capital, the ceiling on shares you may issue, from paid-up capital, what shareholders actually contribute. Set authorised capital with a few years' headroom, not for show.

Can a foreign national be a director?

Yes, with additional documentation and, in some cases, security clearance requirements depending on nationality and shareholding. It is doable but it is not the same-week process a local incorporation is.

Can I use my home address as the registered office?

Yes, provided you can evidence a right to occupy it with a utility bill and ownership or tenancy documents. The registered office is a public address on the SECP record, which is worth considering.

What do I have to file every year?

An annual return to SECP (Form A), Form 29 for any change in directors or particulars, annual accounts, and an annual income tax return to FBR, in every year, including years with no trading. Dormant companies that stop filing accumulate penalties against their directors.

Is a company always better for tax than a proprietorship?

No. A company has a different tax treatment and a second layer when profits are distributed, plus real compliance costs. At lower profit levels a proprietorship or AOP is often better. It depends on your numbers, which is why we model it rather than assert it.
