There is no separate "proprietorship register"

Pakistan has no registrar of sole proprietorships. A proprietorship is not a separate legal person, it is you, trading under a business name. What people mean when they say "register my sole proprietorship" is registering the business with FBR against your NTN, with the business name, address and activity attached. That registration produces the certificate a bank will accept.

Anyone charging you a substantial fee for a "sole proprietorship registration certificate" from some registry is describing something that does not exist.

What it gets you

  • A business current account, so business money stops flowing through your personal account
  • The ability to invoice companies, who need your NTN to process a payment
  • Filer status once you file, which matters as soon as you buy property or a vehicle
  • A legitimate basis for claiming business expenses against your income

The bank account is usually the real objective

Most people registering a proprietorship in Lahore are doing it because a bank turned them away. Banks vary in what they ask for, but the typical set is the NTN certificate showing the business name, your CNIC, a request on business letterhead with your stamp, proof of business premises, and often a chamber of commerce membership certificate or two references from existing account holders.

The chamber membership requirement catches people out. It is not a legal requirement of registration, it is a bank policy, and it varies by bank and by branch. If your bank asks for it, LCCI membership is a straightforward add-on.

Where the proprietorship stops working

Be clear about the limits, because they are real:

No limited liability. The business's debts are your debts. If it fails owing money, your personal assets, your house, your car, your savings, are exposed. For a consultancy with no borrowings and no inventory this is often an acceptable risk. For a business taking on trade credit, leasing premises, or employing staff, it is a bigger exposure than owners tend to assume.

No partners. The moment you want to bring someone in as a co-owner, you need a partnership or a company. Doing it informally, splitting profits with a "partner" who has no legal standing, is how businesses end up in a dispute nobody can resolve.

Limited credibility with large customers. Corporate procurement departments and government tenders frequently require an incorporated supplier.

You cannot raise investment. There are no shares to sell.

Our honest advice

Start as a proprietorship if you are testing an idea, working alone, and your risk is contained. Incorporate when you take on partners, take on real liabilities, or reach a profit level where the tax treatment of a company starts to work in your favour. Converting later is entirely normal and not especially difficult, it is not a decision you have to get perfect on day one. What you should not do is stay a proprietorship out of inertia once the business has outgrown it.

How a proprietorship is taxed

There is no separate business tax filing: the proprietorship's profit is your income, taxed at individual rates through your own annual return with a profit and loss account behind it. That has three practical consequences. Your business withholding, customers deducting under section 153 when they pay your invoices, is a credit on your personal return, and often adds up to a refund for small service businesses. Your wealth statement must absorb the business: capital introduced, drawings taken, and business assets all flow through the reconciliation. And your filer status is the business's filer status, one ATL entry covers both, which is convenient right up until a missed personal filing quietly puts your business invoices on non-filer withholding rates. One return, properly built, keeps all three straight; see business return filing.

Choosing a business name that will not cause trouble

A proprietorship's trading name is not checked against a companies register at registration, and that freedom is a trap. A name deceptively close to a registered company or a registered trademark can draw a legal demand after you have printed signage and built goodwill, and a name using restricted words invites objections from banks and government offices that see them. Two checks before you commit cost nothing: search SECP's company name records, and search the trademark register at IPO Pakistan. If the name is central to your plans, registering it as a trademark is the only thing that actually makes it yours, using it first does not.

Frequently asked questions

Is a sole proprietorship registered with SECP?

No. SECP registers companies. A sole proprietorship is registered with FBR against your personal NTN, with the business name and premises attached. There is no separate proprietorship registry in Pakistan.

How long does it take?

Usually one to three working days once your documents are in, with the main variable being how quickly you respond to FBR verification codes.

Can I open a business bank account with a proprietorship?

Yes, and this is usually the whole point. Banks generally want the NTN certificate showing the business name, your CNIC, a letterhead request with your stamp, and proof of premises. Some also ask for chamber membership or account-holder references.

Do I need chamber of commerce membership?

Not legally, but some banks ask for it as part of their account-opening policy, and it varies by bank and branch. Ask your bank first rather than buying it speculatively.

Can I have more than one business under one proprietorship?

Yes. Multiple business names and branches can be registered against your NTN. They are all still legally you, so the income is combined in your return.

When should I switch to a private limited company?

When you take on partners or investors, when the business carries liabilities that could reach your personal assets, when large customers require an incorporated supplier, or when your profit level makes the corporate tax treatment favourable. Converting later is routine.

Am I personally liable for business debts?

Yes, entirely. There is no separation between you and the business. This is the single most important difference from a company and the main reason to incorporate as risk grows.
