How it works

  1. 1

    Understand the actual business

A planning conversation that starts with your tax return rather than your business is a conversation that produces generic advice.

  2. 2

    Model the options

Where structure is the question, we run the numbers under each option rather than asserting that companies are always better.

  3. 3

    Written recommendations

What to do, when, what it costs, and what the risk is. Including the option of changing nothing.

  4. 4

    Implementation

If a change makes sense, we do the registrations and filings that carry it out.

Planning is a thing you do in advance

Most of what people call tax planning happens in September, when the return is being prepared, and by then the year is over and the facts are fixed. Real planning is the set of decisions taken while the year is still running, how the business is structured, when a major asset is bought, how an owner takes money out, whether a new venture sits inside the existing entity or beside it.

We are not talking about aggressive schemes. Pakistan's tax law is not a good place for cleverness, and structures that exist only to defeat tax attract exactly the attention you do not want. We are talking about not overpaying through inertia, and not creating avoidable problems.

Structure: the decision with the longest tail

Sole proprietor, partnership, or private limited company. This is the question we are asked most, and the honest answer is that it depends on numbers that are specific to you: your profit level, whether you reinvest or draw everything out, whether you need limited liability, whether you are raising money or taking on partners, and whether your customers require a company to deal with.

A company brings a different tax treatment, real compliance obligations at SECP, and a two-layer position when profits are distributed. For some businesses in Lahore that is clearly right. For a consultant billing modest amounts from home it is usually an expensive answer to a question they did not have. We will model it rather than assert it.

Reliefs people leave unclaimed

There are credits and allowances in the Ordinance that a great many taxpayers never claim, either because nobody told them or because the evidence was never assembled. Contributions to approved pension schemes, certain investments, and charitable donations to approved institutions have all featured in the credit regime, though the rules and rates change with each Finance Act. The recurring theme is that these need to be planned and documented during the year, a donation made without the right receipt, or an investment made in the wrong month, does not become claimable later.

Timing

The tax year ends on 30 June. Where a transaction falls relative to that date changes which year it lands in, and occasionally that matters a great deal, a large asset disposal, a bonus, a property sale, taking a dividend. This is not exotic advice. It just requires someone to think about it in May rather than in October.

Owner-managed companies

If you own and run a private limited company, how you extract money, salary, dividend, director's loan, expenses, has different consequences for you and for the company. Getting this wrong is the most common expensive mistake among Lahore's small company owners, and the second most common is treating the company's bank account as a personal one. Both are fixable, and both are far cheaper to fix early.

What you get

A written note. Options, numbers, a recommendation, and the risks of each course including doing nothing. If the recommendation is that your current arrangement is fine, that is what the note will say, and that answer has value too.

Salary structuring: what is actually taxable

For employed clients, planning mostly means making sure the package is structured and reported correctly rather than chasing exotic devices. "Salary" for tax purposes is a defined term that sweeps in allowances, perquisites and benefits, a company car, employer-paid accommodation, and reimbursements each have their own treatment, and the taxable value of a perquisite is often not what it cost the employer. Getting the payroll characterisation right at the employer's end determines the section 149 withholding all year; getting it right on the return determines whether you overpay. Where we advise employers, the same exercise run across the whole payroll frequently finds systematic over- or under-withholding that nobody had questioned because the software default was assumed to be law.

Capital gains: the timing lever people forget

Gains on immovable property and on listed securities are taxed under their own regimes, and both have historically turned on timing, holding periods, the tax year a disposal falls in, and rate changes announced in each Finance Act. That makes disposal timing one of the few genuinely powerful planning levers available to an ordinary taxpayer: the same plot sold a few months either side of a year-end or a rule change can produce a materially different tax outcome, entirely lawfully. The caveat is that the rules here shift more often than almost anywhere else in the Ordinance, so this is a decision to price on current law days before you commit, not on a rule remembered from two budgets ago. If a significant disposal is on your horizon, that conversation is worth having before the buyer is found, not after the token money changes hands.

Frequently asked questions

Is tax planning legal?

Arranging your affairs efficiently within the law is entirely legitimate. Concealing income or fabricating expenses is not, and we do not do it. The line is well understood and we stay on the right side of it.

Should I register a company to save tax?

Sometimes, and often not. A company has a different tax treatment but also real compliance costs at SECP and a two-layer position when profits are distributed. It depends on your profit level, whether you reinvest or draw, and whether you need limited liability. We model it with your numbers rather than giving a general answer.

When is the right time to talk about planning?

Before the year ends on 30 June, and ideally before any major transaction. A conversation in September can only tidy up decisions already made.

Can you help me reduce tax on my salary?

The scope on pure salary income is narrower than on business income, because the slab rates apply to a figure your employer computes. What is usually available is making sure every credit and allowance you are entitled to is actually claimed and evidenced, and that all withholding deducted from you is recovered.

I am starting a business. What should I decide first?

Structure, because it is the hardest thing to change later, and then registration and record-keeping from day one. Businesses that start with a separate bank account and a simple ledger avoid years of reconstruction work and are in a far stronger position if a notice ever arrives.
