How it works

  1. 1

    Name reserved

SECP requires "(SMC-Private) Limited" as part of the name. We screen availability before filing.

  2. 2

    Nominee agreed

You choose a nominee and we take their consent in the correct form. Skipping this properly is the most common SMC filing error.

  3. 3

    Incorporated

Documents drafted, digital signature obtained, incorporation filed.

  4. 4

    Operational

Company NTN and bank account, so the company can actually trade.

Built for the one-person business

A Single Member Company solves a specific problem: you want the limited liability and credibility of a company, but you are the only owner and you do not want to invent a second shareholder to satisfy a technical requirement. Before the SMC existed, solo founders would put 1% of the shares in a relative's name purely to make up the numbers, an arrangement that caused real trouble when relationships changed.

An SMC has one member holding all the shares, and it carries the same limited liability as a private limited company. The name must end with "(SMC-Private) Limited".

The nominee: what it is and what it is not

The one structural quirk of an SMC is the nominee. Because the company has a single member, the law requires you to nominate a person who will take over in the event of your death or incapacity, so the company does not simply stop functioning while succession is sorted out.

Understand what this is. The nominee is not a shareholder, has no ownership stake, no say in the business and no rights while you are alive and capable. They are a designated successor for a specific contingency. People decline to name one because they think they are giving away part of the company. They are not.

You can change the nominee later by filing with SECP. Choose someone you trust and who will actually be reachable, and tell them you have done it. A nominee who learns of the appointment from a lawyer during a crisis is not a plan.

SMC versus sole proprietorship

This is the real comparison for most people asking about an SMC, and it comes down to liability against compliance.

A proprietorship is faster, cheaper and has almost no ongoing compliance, but you are personally liable for everything the business owes. An SMC costs more to set up, requires SECP annual filings and accounts every year regardless of activity, and gives you a legal wall between the business's debts and your personal assets.

The honest test is: if this business failed owing a significant amount, would that reach my house? If the business has no borrowings, no inventory, no premises lease and no staff, a solo consultant, for instance, the exposure is limited and a proprietorship may be proportionate. If you are signing a lease, taking trade credit, employing people, or doing work where a client could claim against you, the SMC starts earning its cost.

Converting to a Pvt Ltd

If you later bring in a co-founder or an investor, an SMC converts to a private limited company by filing with SECP. This is a normal, well-trodden path and not a reason to over-engineer the structure at the start.

Do not forget the compliance

An SMC is a company with everything that implies: annual return to SECP, annual accounts, Form 29 on any change of directors, and an annual FBR return whether or not the company traded. Solo founders sometimes incorporate and then treat it like a proprietorship, filing nothing for two years. The penalties fall on you personally as the director.

Paying yourself: the discipline an SMC demands

The company's money is not your money, that sentence is the entire corporate governance of a single-member company, and it is the one solo founders break first. Money you take out is salary (with payroll withholding), a dividend (with its own tax treatment), or a documented director's loan; it is never just a transfer because you needed it. The same separation runs through expenses: the company pays for what the company uses, and the fuel, phone and family groceries do not blend. This is not pedantry. The corporate veil you incorporated for is exactly what a court or FBR looks past when the accounts show the company treated as a personal wallet, and a clean separation is also what makes your own wealth statement reconcile, since salary and dividends explain your personal position while the company's accounts explain its own.

Frequently asked questions

What is the difference between an SMC and a Pvt Ltd?

An SMC has exactly one member; a private limited company needs at least two. Otherwise the limited liability and the compliance obligations are broadly the same. An SMC converts to a Pvt Ltd when you take on a second owner.

Who is the nominee and do they own part of my company?

No. The nominee is a designated successor who steps in only if you die or become incapacitated, so the company keeps functioning. They have no shareholding, no control and no rights while you are alive and capable. You can change the nominee later.

Can I appoint anyone as nominee?

Any competent adult who gives written consent, and in practice it should be someone you trust and who is reachable. Tell them they have been appointed, a nominee who first hears about it during a crisis is not a plan.

Is an SMC better than a sole proprietorship?

It depends on your exposure. An SMC protects your personal assets from business debts but brings annual SECP filings and accounts. A proprietorship is cheaper and simpler with no such protection. If the business could fail owing significant money, the SMC earns its cost.

Can I convert my SMC into a private limited company?

Yes, by filing with SECP when a second shareholder joins. It is a standard process, so there is no need to over-engineer the structure at the outset.

Does an SMC pay less tax?

It is taxed as a company, which is a different regime from an individual, not automatically cheaper. At lower profit levels a proprietorship is often better; at higher levels, with reinvestment, the company treatment can win. Worth modelling before you decide.

Do I still need to file with SECP every year?

Yes, annual return, accounts, and Form 29 on any change of particulars, in every year including dormant ones. Penalties for non-filing fall on you personally as the director.
