How it works

  1. 1

    Define what you actually do

A developer, a contractor and an estate agency have different objects, different tax exposure and different provincial obligations. We separate them before drafting.

  2. 2

    Incorporation

Name reserved, memorandum and articles drafted, company registered with SECP.

  3. 3

    Tax registrations

Company NTN with FBR, and PRA registration where your services fall in the Punjab schedule.

  4. 4

    Obligations mapped

You get a written note on the withholding duties your business will carry, these are the ones that generate notices in this sector.

Three different businesses under one heading

"Real estate company" covers activities that are legally and fiscally quite distinct, and the structure should follow which one you are:

A developer acquires land, builds, and sells units. The land is inventory, the revenue recognition is complex, and projects run across several tax years. Developers face specific tax treatment for builders and developers, and the position has changed more than once in recent Finance Acts.

A construction contractor builds for someone else on a contract. Revenue is contract receipts, your clients withhold tax under section 153 on every payment, and the services you supply in Punjab fall within the PRA schedule.

An estate agency or brokerage earns commission on transactions. Commission income is withheld on at source, and, critically, agents carry duties in relation to the property transactions they facilitate.

Plenty of Lahore businesses do all three. That is fine, but the objects clause needs to cover it and the compliance obligations stack rather than merge.

The withholding trap: 236C and 236K

This is the single most important thing for anyone entering this sector to understand, and it is where the notices come from.

Advance tax is collected on the sale of immovable property under section 236C from the seller, and on the purchase under section 236K from the buyer. The rates depend on the value of the property and, significantly, on whether the person is an on-time filer, a late filer, or a non-filer, with the non-filer rate a multiple of the filer rate. Recent law has gone further, restricting certain transactions outright for people who are not eligible filers.

For a developer or an agency, this is not somebody else's problem. You are transacting constantly, your buyers and sellers have wildly varying filer status, and the collection and deposit obligations are real. A developer who sold forty units without properly handling the withholding position on each is looking at an assessment covering all forty.

The practical consequence: check the ATL status of every counterparty before the transaction, not after. It changes the rate, and sometimes whether the transaction can proceed at all.

PRA: construction and property services are taxable in Punjab

Construction services, property developers, and real estate agents all appear in the Punjab schedule of taxable services. This catches developers who assume that because they are selling property, which is goods-like, and not a service, they are outside the services regime. The construction and development activity itself is within scope, and a project of any size will attract attention.

Get registered with PRA at the outset. Registering after a project has been marketed and sold means dealing with periods you have already invoiced.

You are also a withholding agent for your contractors

A construction company paying subcontractors, suppliers and labour contractors must withhold tax on those payments under section 153 and deposit it. Failure to withhold makes the company liable for the tax it should have deducted, plus the penalties, which means a company can be assessed for tax on money it already paid out in full to a subcontractor. This is one of the most common and most expensive findings in a construction-sector audit.

Project companies

Developers frequently run each project through a separate company. The reasons are real: ring-fencing liability so a problem on one project cannot reach the assets of another, giving investors a clean vehicle to put money into, and simplifying the eventual wind-up when a project completes. It also multiplies your compliance load, since every company files its own SECP returns and its own tax returns whether or not it is active. It is a genuine trade-off worth deciding deliberately rather than by default.

Before you market a project

Approvals for a housing or building project come from the relevant development authority or local government, LDA within its area, and cantonment or other authorities elsewhere in Lahore, and the specifics depend on the site and the project type. Marketing an unapproved project is both a regulatory problem and a reputational one in a market where buyers have become considerably more careful. Have the approval position clear before the first booking is taken.

FBR valuation tables, DC rates and declared values

Property taxation in Pakistan runs on more than the price the parties agreed. FBR publishes its own valuation tables for immovable property in major cities, the provincial DC rate governs stamp duty, and the actual transaction price is a third number again. Withholding under 236C and 236K, capital gains computations and the buyer's wealth statement all interact with these values, and the era of registering transfers at a fraction of reality is closing as the tables are revised toward market levels. For anyone dealing in property professionally the practical rules are: know which value each levy is computed on before pricing a deal, keep the banking trail equal to the declared consideration, and treat a large gap between deed value and actual payment as the audit flag it is, for you and for your client.

Advising your buyers is part of the product

An estate agency or developer that can answer tax questions closes transactions that others watch collapse at the transfer counter. The recurring buyer-side questions are knowable in advance: what 236K will cost at their filer status, whether section 114C restrictions bite at this value, how an overseas buyer should remit the purchase money so the source is documented, and what the asset does to their wealth statement. We act for several property businesses precisely so their deals stop failing on the tax step, and buyer-side referrals for overseas filings and ATL restoration tend to follow naturally from the same conversations.

Frequently asked questions

Do I need a company to work as a property dealer?

Not legally, many operate as proprietorships. A company becomes worthwhile when you are handling client money, running projects, taking on partners, or dealing with corporate clients who prefer an incorporated counterparty.

What is 236C and 236K and why does it matter to me?

They are advance tax provisions on the sale and purchase of immovable property. The rates differ sharply depending on whether the person is an on-time filer, a late filer or a non-filer, and recent law restricts some transactions outright for non-eligible persons. If you transact in property regularly, handling this correctly on every deal is the difference between clean books and a sector-wide audit finding.

Does a construction company need PRA registration?

Construction services and property development appear in the Punjab schedule of taxable services, so generally yes. Developers often assume that selling property puts them outside the services regime; the construction and development activity itself is within scope.

Do I have to withhold tax on payments to subcontractors?

Yes, under section 153. Failing to withhold makes your company liable for the tax that should have been deducted, plus penalties, meaning you can be assessed on money you already paid the subcontractor in full. It is the most common expensive finding in construction audits.

Should each project be a separate company?

It is common among developers, and it ring-fences liability and simplifies investor arrangements and eventual wind-up. The cost is a full set of SECP and FBR filings for every entity, active or not. Decide it deliberately rather than by default.

What approvals does a housing project need?

Approval from the relevant development authority or local government, which depends on where the site sits, LDA within its jurisdiction, cantonment or other authorities elsewhere. Marketing an unapproved project is a regulatory and reputational risk, so the approval position should be settled before the first booking.

How is a developer taxed on a project running over several years?

Revenue recognition across tax years is genuinely complex for developers, and the specific regime for builders and developers has changed more than once in recent Finance Acts. It needs planning at project inception rather than reconstruction at year end.
